1. Overview & Key Definitions

This Terms of Service ("TOS") constitutes a legal agreement between you ("User", "you") and PrecisionLife Ltd (“PrecisionLife”, "PL", "we", "us", "our"), a company registered in England and Wales (Company Number 08687703; Registered Office: Unit 8b Bankside, Hanborough Business Park, Long Hanborough, Witney, Oxon, OX29 8LJ, UK).

This TOS is a binding agreement between you and us, whether you browse the PrecisionLife website or web portal (collectively, the “Site”) as a visitor or register as a user with access to our web portal to access our online services. Subject to your compliance with these TOS, we grant you a limited, revocable, non-exclusive, non-transferable right to receive, access and use the Site for your personal, non-commercial purposes. By visiting, registering for, posting content on, submitting information or materials to, accessing, reviewing and/or otherwise using the Site, its information and content, and various interactive features, you accept, without limitation or qualification, these TOS, which constitute an agreement between you and us. All terms and conditions herein shall apply to our Privacy Policy.

To ensure absolute clarity, the following defined terms apply throughout this document:

Digital Genome	Electronic genetic data (genotype VCF file) produced via whole genome sequencing and imputation.
Guide	The PrecisionLife Wellness Guide is an educational resource. It is not personalized. It summarizes the available science.
Kits	Biological sample kits containing two cheek swabs to self-collect DNA for sequencing.
Operating Partners	Commercial operations partners subcontracted by PrecisionLife. PrecisionLife does not employ, dictate, advise, direct, or control any Operating Partners.
Report	The PrecisionLife DNA Wellness Report that includes personalized results report, mechanism-level results and downloadable DNA data file.
Services	The collective products, services, software, web portals, reports and guidance provided or coordinated by PrecisionLife.

2. Consumer Requirements & Account Setup

• Age and Residency: You must be at least eighteen (18) years of age and a resident of the United States of America to order or use PrecisionLife Services.
  
• Ordering for Others: If you order a kit for another individual, you warrant that you have obtained their explicit consent, that they meet the 18+ US residency requirement, and that they accept these Terms of Service.
  
• Account Registration & Mandatory Security: Purchases are processed through Shopify. To access reports, you must create a Consumer Portal account (“Account”). PrecisionLife operates under ISO 27001:2022 (Information Security) and ISO 27701:2019 (Privacy Information) accreditations. To protect your data, use of Two-Factor Authentication (2FA) is mandatory for portal access.
  
• Account Information: You must provide accurate account details and maintain the confidentiality of your credentials. You are responsible for any use of your Account. You may not transfer or share your password or Account (collectively, the “Account Information”) with anyone. You are responsible for maintaining the confidentiality of your Account Information. You are responsible for all activity under your account and must notify PrecisionLife immediately of any unauthorized use of your Account or security breach. Notwithstanding the above, we may rely on the authority of anyone accessing your Account or using your password and in no event and under no circumstances shall we be held liable to you for any liabilities or damages resulting from or arising out your use of the Site, your use of Account Information or your release of the Account Information to a third party. You may not use anyone else’s Account at any time and may only maintain one Account at time.

3. Medical & Scientific Disclaimers

• Medical Disclaimer: PrecisionLife does not provide any medical or healthcare services or address medical emergencies through the Site or the Services. If you believe you are experiencing a medical emergency, you should dial 9-1-1 and/or go to the nearest urgent care center or emergency room. We disclaim any liability for your failure to adhere to this Section or any medical events you may experience.
  
• Informational & Educational Use Only: PrecisionLife provides general wellness guidance. The Services do not constitute medical advice or the practice of medicine and are not intended to diagnose, cure, mitigate, prevent or treat any disease or condition or offer any healthcare assessment. The Reports, along with the educational guides referenced therein, are provided strictly for general wellness and educational purposes only. The Report provides research-based information about genetic patterns linked to biological mechanisms found in research studies and is provided for biological context only – it does not provide a diagnosis, prediction, screening result, or disease-risk assessment. The Report does not provide personalized medical, lifestyle, nutritional, supplement or treatment advice. If you have concerns about your health or symptoms, consult a qualified healthcare professional.
  
• Contradictions: PrecisionLife does not evaluate or report on high-risk pathogenic (disease-causing) genetic variants associated with other diseases outside the scope of the Report. Furthermore, individuals who have undergone bone marrow or stem cell transplants may find that their saliva sample contains donor DNA which may make their Reports unreliable.
  
• Evolving Scientific Knowledge: The Report includes genomic interpretations based on peer-reviewed literature and research studies available at the time of issuance. As scientific understanding advances, genomic interpretations may change. PrecisionLife may update future Reports but is not obligated to retroactively revise past Reports.

4. Service Workflow & US Territorial Guarantee

If applicable, this TOS governs your purchase of the Services, which include the provision of biological sampling Kits, processing of biological samples, creation of customer accounts, and educational content delivered in your Report and Guide.

The delivery of your Report involves four streamlined steps:

• Step 1: Collection & Return. Upon your request, a sampling Kit containing two cheek swabs (one primary, one backup) is packaged and mailed to you by an Operating Partner. You must collect your sample following the kit instructions and mail it back to the designated Operating Partner.
  
• Step 2: Laboratory Sequencing. Your samples will be processed by an Operating Partner holding CAP-accreditation or CLIA-certification to operate an independent laboratory located in the United States.
  
• Step 3: Bioinformatic Processing. The genome sequencing data will be uploaded to an Operating Partner's secure server located in the United States, where automated algorithms impute genotypes into a VCF Digital Genome file and run PrecisionLife’s reporting tools.
  
• Step 4: Report Delivery & Portal Storage. Your completed DNA Wellness Report, Digital Genome, and educational Wellness Guide are published directly to your secure web portal account for viewing and download.

United States Territorial Guarantee: To ensure optimal privacy and regulatory protection, PrecisionLife guarantees that all physical sample handling, DNA extraction, sequencing, data storage, and report generation occur strictly within the borders of the United States. No biological samples or individual genetic data will be transferred outside the United States.

• Kit Returns & Non-Refundable Status of Orders:
  • Sterile Medical Equipment Classification: The Kits contain specialized specimen preservation buffers and are classified under federal health regulations as sterile, single-use durable medical equipment (“DME”).
  • No Returns or Restocking: Due to strict infection control, contamination risks, and health standards, the Kits cannot be returned, restocked, resold, or redistributed once they leave the clean-room packaging facility—even if the outer tamper-evident seal remains intact.
  • Final Sale: All DNA Wellness Report purchases are final sale and non-refundable immediately upon shipment of sample collection kits.

• Failed Sample Reprocessing & Replacement Workflow:
  • If the lab is unable to extract or process DNA from your sample (due to low saliva volume, low DNA concentration, transit degradation, or sample contamination), PrecisionLife uses a three-step workflow:

1. 1. 1. Automatic Backup Retesting: The Operating Partner will automatically process the second (backup) swab included in your original kit at no extra charge.
      2. Free Replacement Kit: If the backup swab also fails, PrecisionLife will arrange to send you a replacement kit free of charge.
      3. Refund Exception for Repeated Failure: If both physical samples in the replacement kit fail as well, your sole and exclusive remedy is a full refund of the purchase price, excluding PrecisionLife’s handling fee.

5. User Content; Data Privacy

• User Content: PrecisionLife asserts no ownership rights over the personal information you provide in connection with the Services or your Digital Genome DNA files (collectively, “User Content”). You grant PrecisionLife and operational partners only a limited, temporary license to host and process your User Content that is strictly required to deliver the Services. You retain complete ownership of, and rights to, your User Content in a manner consistent with our Privacy Policy.
  
• Account & Data Erasure: You may request a permanent and irreversible deletion of your Account Information and Personal Information in a manner consistent with our Privacy Policy.
  
• Corporate Transitions & Bankruptcy Protection: We do not treat your User Content as our corporate asset. In the event of a merger, acquisition, restructuring, or bankruptcy, PrecisionLife will provide at least thirty (30) days' advance electronic notice, granting you a 30-day data download window to retrieve and/or delete your files before storage ends.
  
• Legal Disclosures: PrecisionLife will disclose User Content only when strictly required by law, court order, or legal process. We will attempt to provide you with advance notice of any such legal disclosure unless prohibited by law or court order.
  
• Public Posts: WE RECOMMEND YOU DO NOT POST OR SEND US ANY USER CONTENT, IDEAS, SUGGESTIONS, OR OTHER USER CONTENT THAT YOU WISH TO KEEP PRIVATE OR PROPRIETARY. By sending any ideas, concepts, know-how, proposals, techniques, suggestions or other User Content to us, you agree that: (i) we are free to use such User Content for any purpose, (ii) such User Content will be deemed not to be confidential or proprietary (iii) we may have something similar already under consideration or in development, and (iv) you are not entitled to any compensation or reimbursement of any kind from us under any circumstances unless otherwise expressly agreed in writing by us.

6. User Conduct & Prohibited Activities

You agree not to misuse the Services. Prohibited actions include, but are not limited to:

• Illegal & Harassing Behavior: Using the Site for unlawful purposes, posting defamatory, derogatory, or obscene content, targeting people or groups based on ancestry, or harassing others.
  
• Impersonation & Disguise: Falsifying identity and/or consents, misrepresenting affiliations, or forging credentials.
  
• Forensic & Unauthorized Analysis: Using received information to identify other customers, contact users, access their accounts without permission, or conduct forensic or other genetic investigations.
  
• Security Violations & Scraping: Scraping, crawling, spidering site content, introducing viruses, or attempting to override site security controls.
  
• Commercial Exploitation: Reselling services, Reports, Guides, or other PrecisionLife content, advertising products, or sending spam.

Breach Consequences: Violating this TOS, including this Section, entitles PrecisionLife to immediately suspend or terminate your account. You agree to indemnify and hold PrecisionLife and its directors, officers, employees, agents, shareholders, successors, assigns, and contractors harmless from and against any and all claims, damages, suits, actions, liabilities, judgments, losses, costs (including without limitation reasonable attorneys’ fees) or other expenses that arise directly or indirectly out of or from (i) your breach of any provision of this TOS; (ii) your activities in connection with the Site; or (iii) the information you provide to us through the Site or web portal. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

7. Intellectual Property & Usage License

• PrecisionLife IP Ownership: PrecisionLife and its licensors retain all rights, titles, and interests in its Site, software, reporting algorithms, proprietary research cohort insights, Report and educational guide designs, and trademarks ("PrecisionLife Marks"). All names, logos, text, designs, graphics, trade dress, characters, interfaces, code, software, images, sounds, videos, photographs and other content appearing in or on the Sites, (collectively, the “Content”) are protected intellectual property of, or used with permission or under license by, us or our licensors. Such Content may be protected by copyright, trademark, patent or other proprietary rights and laws. This includes the entire Content of the Site, copyrighted and protected as a collective work. All intellectual property rights associated with the Site, and related goodwill, are proprietary to us or our licensors. You do not acquire any right, title or interest in any Content by accessing or using the Site. Any rights not expressly granted herein are reserved. Except as set forth in this TOS, the use of any Content available on the Site is strictly prohibited.
  
• Personal Wellness License: Your DNA Wellness Report and educational Guide are copyrighted by PrecisionLife. You are granted a limited license to use your reports to inform personal wellness and share with healthcare professionals. You may not publish, reproduce, distribute, sell, or create derivative works from Report or educational Guide content.

8. Warranties & Limitation of Liability

• Provided "AS-IS": IN ADDITION TO ALL OTHER DISCLAIMERS DESCRIBED HEREIN, WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE, VALIDITY, ACCURACY OR RELIABILITY OF THE SERVICES OR CONTENT AVAILABLE ON A SITE OR ANY OTHER SITES LINKED TO OR FROM A SITE. DOWNLOADING OR OTHERWISE OBTAINING ANY CONTENT THROUGH A SITE IS DONE AT YOUR OWN RISK. THE SERVICES AND CONTENT IS PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
  
• Limitation of Liability: To the maximum extent permitted by law, IN ADDITION TO ALL OTHER LIMITATIONS OF LIABILITY DESCRIBED HEREIN, WE, AS WELL AS OUR OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SERVICE PROVIDERS AND RETAILERS (COLLECTIVELY, THE “RELEASEES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THIS TOS OR THE USE OF, OR INABILITY TO USE, THE SITE, SERVICES, CONTENT (INCLUDING BUT NOT LIMITED TO WELLNESS CONTENT) OR EXTERNAL LINKS; THE COMPLETENESS OR ACCURACY OF THE SERVICES OR CONTENT; ANY HEALTH DECISIONS MADE BASED ON THE SERVICES; UNAUTHORIZED DATA ACCESS; DAMAGES CAUSED BY OR RELATED TO ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAY IN OPERATION OR TRANSMISSION; OR ANY COMPUTER VIRUS OR FAILURE.

RELEASEES WILL ALSO NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF DATA OR PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RELEASEES ALSO SHALL NOT HAVE ANY LIABILITY OR RESPONSIBILITY FOR ANY ACTS, OMISSIONS OR CONDUCT OF ANY USER OR OTHER THIRD PARTY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. REGARDLESS OF THE PREVIOUS SENTENCES, IF WE ARE FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE GREATER OF THE ACTUAL TOTAL AMOUNT RECEIVED BY US FROM YOU OR THE LOWEST LIABILITY LIMITATION ALLOWED BY APPLICABLE LAW.

PRECISIONLIFE IS NOT RESPONSIBLE FOR ANY DISPUTES OR DISAGREEMENTS THAT MAY ARISE BETWEEN OPERATING PARTNERS AND YOU AND/OR ANY OTHER THIRD PARTY. PRECISIONLIFE ATTEMPTS TO VERIFY THAT ALL OPERATING PARTNERS HAVE THE REQUIRED LICENSURE, CERTIFICATION, ACCREDITATION, REGISTRATION, TRAINING OR EDUCATION TO PROVIDE YOU THE SERVICES BUT PRECISIONLIFE DOES NOT MAKE ANY REPRESENTATION OR WARRANTY, DIRECT OR IMPLIED, THAT ALL OPERATING PARTNERS SATISFY SUCH REQUIREMENTS AND DISCLAIMS ANY RESPONSIBILITY OR LIABILITY TO YOU IN THE EVENT THIS IS NOT THE CASE.

9. Dispute Resolution, Arbitration & Class Waiver

PLEASE READ THIS SECTION CAREFULLY. IT GOVERNS HOW LEGAL CLAIMS ARE RESOLVED.

• Mandatory 60-Day Informal Resolution: Before starting formal proceedings, you and PrecisionLife must attempt to resolve disputes informally. You must send a written "Notice of Dispute" detailing facts and relief sought to customersupport@precisionlife.com and participate in a 60-day negotiation conference.
  
• Binding Individual Arbitration: If unresolved, disputes will be settled by confidential binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. For US residents, hearings occur in your home county; claims under $25,000 are resolved via document submission. Demands must be served on PrecisionLife, Ltd., ATTN: Legal Counsel, Unit 8b, Bankside, Hanborough Business Park, Long Hanborough, OX29 8LJ, UK.
  
• Class Actions
  • Waiver of Class Actions. Except as stated below, you and PrecisionLife agree to resolve all disputes solely on an individual basis, and each waives any right to bring, join, or participate in a class, collective, consolidated, mass, or representative action or a class arbitration. The arbitrator may award relief only in favor of the individual party seeking relief, and only as necessary to resolve that party's individual claim, and may not preside over any class or representative proceeding.
  • Public Injunctive Relief. Nothing in this Section waives any right to seek public injunctive relief that cannot be waived under applicable law. The arbitrator is authorized to award public injunctive relief to the same extent available to an individual claimant in court. If a court finds that a claim for public injunctive relief may not be arbitrated or waived, that claim (and only that claim) shall be severed and heard in court, and all other claims shall proceed in individual arbitration.
  • Non-Severability. Except for the public-injunctive-relief carve-out above, this Class Action Waiver is a material and non-severable part of the agreement to arbitrate. If the Waiver is found unenforceable as to any claim, then the agreement to arbitrate shall be null and void as to that claim only, which shall proceed in court; the remainder of this Section 9 shall stay in effect. In no event will any dispute be arbitrated on a class or representative basis.
    
• Exceptions: Either party may seek small claims court relief, provisional judicial remedies, or court actions restricted to patent, copyright, trademark, or trade secret enforcement.
  
• 30-Day Opt-Out Right: You may opt out of the arbitration agreement and class action waiver by emailing written notice to customersupport@precisionlife.com within thirty (30) days of first using the Service.
  
• 1-Year Filing Limit: Any legal claim arising from the Services or TOS must be filed within one (1) year after the cause of action arises, or such claim will be permanently barred.

10. Third Party Links

Third Party Terms:

You acknowledge that portions of the Services that we provide, or arrange for the provision of, to you include content and services that are provided by third parties (“Third Party Services”), including the Health Services with your Provider. By agreeing to this TOS, you also accept the terms and conditions governing the provision of such Third Party Services:

Third Party Links:

We may provide on the Site, solely as a convenience to users, links to websites, social media pages, mobile applications or other services operated by other entities. If you click these links, you will leave our Site. If you decide to visit any external link, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. We do not make any warranty or representation regarding, or endorse or otherwise sponsor, any linked Sites or the information appearing thereon or any of the products or services described thereon. Links do not imply that we are legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links; or that any linked Site is authorized to use any of our trademarks, logos or copyright symbols. If any external website relates to the provision of medical, healthcare or related services and/or items – or any other product or service – a link to such third-party website on the Site does not constitute a referral or recommendation by us of the healthcare provider or supplier or an endorsement of or representation about the quality of their products, services, qualifications, credentials or experience.

We may maintain a presence on and link to social media websites, including Facebook, LinkedIn, Google Plus, X, BlueSky, YouTube, TikTok, Pinterest and Instagram, and others (collectively, “Social Media Pages”), to provide a place for people to learn more about us and our services and to share experiences with our products. When you visit these Social Media Pages, you are no longer on our Site, but rather a website operated by a third party. All comments, visuals and other materials posted by visitors to our Social Media Pages do not necessarily reflect our opinions, values or ideas. All visitors to our Social Media Pages must comply with the respective social media platform’s terms of service.

11. Terms for Users in Specific Jurisdictions

The following terms apply to users that are residents and users of certain jurisdictions:

New Jersey Users: If you are a consumer residing in New Jersey, the following provisions of this TOS do not apply to you (and do not limit any rights that you may have) to the extent that they are unenforceable under New Jersey law: (a) Disclaimer of Warranty; (b) Limitation of Liability; (c) Indemnity; and (d) under Disputes, Arbitration and Class Action Waiver, the Arbitration terms, the Class Action Waiver and the governing law terms (solely to the extent that your rights as a consumer residing in New Jersey are required to be governed by New Jersey law). According to N.J.S.A. 56:12-16, you may have additional rights if you are a New Jersey resident and other provisions of this Agreement are found to violate an established legal right.

California Users: Notwithstanding the agreement to resolve all disputes through arbitration, either party may seek relief in a court of law for a claim arising under California’s Private Attorneys General Act (PAGA). Under California Civil Code Section 1789.3, users located in California are entitled to the following consumer rights notice: If a user has a question or complaint regarding the Service, please send an email to customersupport@precisionlife.com. California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at +1 (916) 445-1254 or +1 (800) 952-5210.

12. Termination & General Provisions

• Termination: You may terminate this agreement at any time by closing your account. PrecisionLife may terminate access if you breach the TOS, if required by law, or if in its sole opinion the Services are no longer commercially viable. We may terminate this TOS by notifying you using any contact information we have for you or by posting such termination on the Site, including in your Account.
  
• Terms Changes & 30-Day Notice: PrecisionLife may revise these TOS at any time. Material changes will be communicated via email or site notice at least thirty (30) days before taking effect. Continued use after changes constitutes acceptance of the revised terms.
  
• Governing Law & Forum: This TOS and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, exclusive of conflict or choice of law rules. For claims not subject to arbitration, exclusive jurisdiction lies in state or federal courts located in Wilmington, DE. You hereby waive any right to a jury trial. In any arbitration arising out of or related to this TOS, the arbitrator is not empowered to award punitive or exemplary damages, except where permitted by statute, and the parties waive any right to recover any such damages.
  
• Entire Agreement & Assignment: These TOS constitute the complete agreement between you and PrecisionLife. You cannot assign your rights; PrecisionLife may assign its rights freely upon notice.
  
• Severability: If any provision of this TOS is held to be invalid or unenforceable, it shall be replaced in interpretation by a valid and enforceable term that most closely aligns with the intent of the original provision. If that is not possible, the provision shall be removed, and the rest of the TOS will be enforceable.
  
• Official Notices: Official legal notices to PrecisionLife must be mailed to: PrecisionLife, ATTN: Legal Counsel, Unit 8b Bankside, Hanborough Business Park, Long Hanborough, OX29 8LJ, UK.
  
• Updates: We may revise or otherwise change or update this TOS from time to time. We will use reasonable efforts to notify you of such changes. When changes are made to this TOS they will become immediately effective when published on this page unless otherwise noted. We encourage you to periodically review this TOS, as there may have been changes to our policies that may affect you. If you do not agree to this TOS as modified, then you must discontinue your use of our Site. Your continued use of the Site will signify your continued agreement to this TOS as revised. We will make reasonable efforts to notify you of material changes to this TOS. Such efforts might include posting notice on the Site, an email to the address we have on file, or a message in your Account. We may assign this Agreement at any time with or without notice to you. You may not assign or sublicense this Agreement or any of your rights or obligations under this Agreement without our prior written consent.
  
• Accessibility: We are committed to making the Site accessible for all users and will continue to take steps necessary to ensure compliance with applicable laws. If you have difficulty accessing any content, feature, or functionality of the Site, please Contact Us.
